T1 Los contratos internacionales de distribución comercial en el reglamento Roma I

AB En el marco del Reglamento “Roma I”, existen dos instrumentos jurídicos muy adecuadospara contrarrestar las consecuencias negativas que se producen, en relación con los contratos dedistribución, como consecuencia de la amplia autonomía conflictual conferida por el art. 3 del Reglamento:la cláusula general que aparece consagrada en su apartado 4º (susceptible de aplicación cuandolos “elementos pertinentes” del contrato de distribución se encuentren localizados en los Estados miembros)y las normas materiales internacionalmente imperativas. Y, en defecto de elección de ley por las partes,habrá de estarse a las normas de conflicto especiales contenidas en el 4.1.e) y f), detrás de las cualessubyace, aunque tímidamente, el principio tuitivo, el cual se expresa en términos, más que de justicia material,de justicia conflictual.
AB Within the framework of the Rome I Regulation, there are two suitable and legal instrumentsfor offsetting the negative outcomes that occur in relation to the international distribution contracts,which is a consequence of the wide party autonomy granted by article 3 of the Regulation. The first legalinstrument is the general clause that appears in 4th paragraph. It shall be applied when the “relevant elements”of the distribution contract are located in the Member States. The second legal instrument wouldbe the mandatory rules. In the absence of the parties' choice of applicable law, we should follow the specialconflict-of-law rules. These rules are set down in article 4.1 e) and f). Behind these rules there exists,although not forcibly stated, the principle of the protection of the weaker party, the distributor.
