AB La administración de la compañía es un aspecto fundamental del contrato desociedad. El presente artículo analiza mediante las cláusulas de las escrituras sociales, lalegislación y la doctrina, la forma en la que se desarrolla durante un período histórico deespecial importancia: la evolución desde la edad moderna hacia el régimen liberal ycodificador del derecho mercantil. El sistema más característico es la gestión colectiva,matizada con diferentes cláusulas limitativas, subdividida en tres formas diferentes:disyuntiva, conjunta y repartida.
AB The administration of the company is a key element of the partnershipcontract. By means of contractual terms, laws, and doctrine, this paper analyzes the wayadministration develops in a historical period which has a special significance: theevolution from the legal culture of the Modern Age towards the codifying, liberalregime of Commercial Law. The most characteristic one is the collective management,qualified with different contractual clauses restricted to the managing power, andsubdivided into three different forms: disjunctive, joint, and shared.
