AB El trabajo tiene por objeto la construcción del régimen jurídico de laaportación de empresa, en atención al escaso tratamiento normativo y dogmáticode esta operación, pese a su indiscutible importancia práctica y crecientepotencial en los actuales procesos de concentración, especialización yreestructuración/empresarial. Para ello, y después de efectuar una depuracióninicial de las aportaciones sociales, se procede a la inserción de la operaciónen el panorama normativo vigente a nivel societario, que no es otro queel relativo a las aportaciones no dinerarias, proyectando asimismo sobreellas el conjunto de normas fragmentarias y dispersas que aluden con caráctergeneral o sectorial al fenómeno de la transmisión empresarial. Esto permitellegar a un régimen integrado resolviendo los problemas dogmáticos y prácticosque introduce en el negocio de aportación social las especiales característicasque concurren en el /objeto empresa y su necesaria coordinacion con lasexigencias estructurales propias de la sociedad anónima.
AB The next dissertation adresses one of the most significative questions of the regulation and practical life of the limited companies: the non-cash contributions, the company contributions.The importance of the social contribution, crucial from the effective perspective of the integration of capital is highlighted and the cualities that must possess to be able to be contributed to a limited company.Next, the company is studied as possible unitary contribition object, highlighting the interest, on one hand for the issues arised from the obligation on the contributor not to concur with society on the activities of the company provided; and, on the other hand, due to the peculiarities in matters of sanitation as the LSA article 39.3 establishes, also for the business contribution hypothesis. Special attention is paid to certain elements of the productive entity whose trnasmission acquires or may acquire some relevance at its contribution moment: special reference id made to the ''goodwill'' of the company, the right to rent the place of business and the eventual know how the contributing entrepreneur is enjoying.
